All services and products are delivered under this legal entity unless otherwise specified.

2. Engagement of Services

A service engagement becomes valid when:

  • A proposal or statement of work is approved in writing
  • An invoice is issued
  • The required advance payment is received

Work will not begin until the initial payment has been confirmed.

Project timelines depend on client responsiveness and timely feedback.

3. Payments

Unless otherwise agreed in writing:

  • Projects require advance payment before commencement
  • Milestone payments must be cleared before proceeding
  • Final deliverables may be withheld until full payment is received
  • Late payments may result in suspension of services

All prices are exclusive of applicable taxes unless stated otherwise.

Clients are responsible for bank charges, gateway fees, and international transfer fees.

4. Scope of Work

Each project is delivered according to the defined scope in the approved proposal.

Requests outside the agreed scope may:

  • Require a revised quotation
  • Affect delivery timelines
  • Be billed separately

Additional work will not begin without approval.

5. Intellectual Property

Client Ownership

Upon full payment, clients receive ownership of custom developed deliverables created specifically for them.

Code Pros Ownership

Code Pros retains ownership of:

  • Internal frameworks
  • Reusable modules
  • Pre-existing intellectual property
  • Development methodologies
  • Software products and plugins

General knowledge, tools, and reusable components remain the property of Code Pros.

6. Software Products and Plugin License

All plugins and software products developed by Code Pros are licensed, not sold.

License Grant

Upon purchase, Code Pros grants a limited, non-exclusive, non-transferable license to use the software according to the selected plan.

License types may include:

  • Single site
  • Multi site
  • Agency
  • Subscription based access

License validity depends on an active subscription unless explicitly stated otherwise.

License Activation

Products may require:

  • License key activation
  • Domain validation
  • Periodic verification

Code Pros reserves the right to suspend or deactivate licenses in case of

  • Failed or reversed payments
  • Violation of license limits
  • Unauthorized distribution
  • Fraudulent activity
Subscription and Renewals

If sold under a recurring model:

  • Subscriptions may renew automatically unless cancelled before renewal
  • Renewal pricing is based on the selected plan
  • Expired licenses may lose access to updates and support

Functionality after expiration depends on the product design.

Updates and Support

Active license holders are entitled to:

  • Product updates
  • Security patches
  • Technical support within reasonable limits

Support does not include:

  • Custom development
  • Third-party plugin conflicts
  • Hosting configuration
  • Theme customization

Response times are not guaranteed but handled professionally.

Refund Policy

Refunds may be granted at the discretion of Code Pros under reasonable conditions.

Refund eligibility may depend on:

  • Time since purchase
  • License activation status
  • Nature of issue reported

Abuse of refund policy may result in denial of future purchases.

7. Third-Party Services

Projects and products may rely on third-party services including hosting providers, payment gateways, APIs, plugins, or cloud platforms.

Code Pros is not responsible for:

  • Downtime caused by third parties
  • Pricing changes by external providers
  • Service interruptions beyond our control
  • Policy changes made by third-party platforms

Clients are responsible for maintaining required subscriptions.

8. Hosting and Infrastructure

If hosting is managed by Code Pros:

  • Server management is limited to agreed scope
  • Clients are responsible for usage based costs
  • Failure to pay hosting fees may result in suspension

If hosting is client managed, Code Pros is not liable for infrastructure failures.

9. Performance and AI Disclaimer

While we aim to build secure and optimized systems:

  • No guarantee is made regarding revenue or business outcomes
  • SEO performance depends on external factors
  • AI systems may generate variable or imperfect outputs

Services and software are provided on a professional best effort basis.

10. Confidentiality

Both parties agree to maintain confidentiality regarding proprietary information including:

  • Technical systems
  • Business data
  • Credentials
  • Financial details

Confidential information will not be disclosed without written consent unless required by law.

11. Limitation of Liability

To the maximum extent permitted by law:

  • Code Pros shall not be liable for indirect or consequential damages
  • Code Pros shall not be liable for data loss, revenue loss, or business interruption
  • Total liability shall not exceed the amount paid for the specific service or product giving rise to the claim

Software products are provided as is without warranties of uninterrupted operation.

12. Termination

Either party may terminate services in writing.

Upon termination:

  • Completed work will be billed
  • Payments made are non refundable for completed phases
  • Deliverables are transferred upon settlement of dues

For software products, termination may result in license deactivation.

13. Acceptable Use

Clients and users agree not to use services or products for:

  • Illegal activities
  • Fraudulent schemes
  • Malware distribution
  • Intellectual property violations

Violation may result in immediate termination without refund.

14. Governing Law

These Terms are governed by the laws of Nepal.

Any dispute shall first be attempted to be resolved amicably. If unresolved, disputes shall fall under the jurisdiction of the courts of Kathmandu, Nepal.

15. Changes to Terms

Code Pros reserves the right to update these Terms at any time.

Updated versions will be published on the website with a revised date.

Continued use of services or software constitutes acceptance of the revised Terms.
